1. Who you are contracting with

These terms are between you and GRAV CLOTHING PVT LTD, a company registered in India with CIN U14101OD2025OPC049369 and GSTIN 21AAMCG0739M1ZH, whose registered office is at 8B, Mayfair Lagoon Campus, Jaydev Vihar, Bhubaneswar, Odisha, 751013, India. In these terms, "we" and "us" mean that company.

By placing an order with us, making a payment to us, or using an account we have issued, you agree to these terms.

2. Orders

A quotation is an invitation to order and is not a contract. A contract is formed only when we confirm your order in writing. We may decline an order, and will say so promptly if we do.

Goods are manufactured to the specification agreed in writing — fabric, sizes, quantities, finish and packing. Where an order is made to your specification or carries your branding, it cannot be resold by us, which is why the cancellation terms for such orders differ (see our Refund & cancellation policy).

Small variations in shade, weight and measurement are inherent to textile manufacturing. Variation within commercial tolerance agreed at the time of the order is not a defect.

3. Prices and payment

Prices are in Indian Rupees (INR) and exclude GST unless stated otherwise. GST and any other applicable duty is charged at the rate in force on the date of invoice.

Payment terms are those stated on the order confirmation or invoice. Unless agreed otherwise, an advance is payable before production begins and the balance before dispatch. We may suspend production or dispatch on an account with an overdue balance.

Payments made online are processed by a regulated payment gateway. We do not receive or store your card, UPI or net-banking credentials. A payment is treated as received when the gateway confirms it to us, not when it leaves your account.

4. Delivery and risk

Delivery timelines are estimates given in good faith and run from the date the order is confirmed AND any advance is received AND the specification is finally approved — whichever is latest. See our Shipping & delivery policy.

Risk in the goods passes to you on delivery to you or to a carrier nominated by you. Title in the goods remains with us until they are paid for in full.

5. Inspection and defects

Please inspect goods on arrival. A shortage, or damage visible on the outside of the packaging, must be noted on the carrier's proof of delivery and reported to us within 48 hours. Any other defect must be reported within 7 days of delivery, with photographs and the invoice number.

Where goods are genuinely defective or do not match the agreed specification, we will at our option replace them, rework them, or refund the amount paid for the affected goods.

6. Using our system

Accounts on our management system are issued to named individuals for business use. If you hold one:

• Keep your password to yourself. You are responsible for what is done under your account.
• Use it only for the purpose it was issued for, and only for the records your role gives you.
• Do not attempt to reach data belonging to another department, customer or supplier.
• Do not copy, scrape or redistribute data from the system except as your work requires.

Activity is logged. We may suspend or withdraw an account that is misused, that belongs to somebody who has left, or where we reasonably believe security has been compromised.

7. Confidentiality

Each of us may see the other's commercial information — designs, prices, costings, customer lists. Neither of us will disclose it to anybody else or use it for any purpose other than performing the contract, except where the law requires disclosure.

8. Intellectual property

Designs, artwork and trade marks you supply remain yours, and you confirm you are entitled to have goods made using them. Patterns, methods and software we develop remain ours. Nothing in these terms transfers ownership of either.

9. Our liability

Our total liability arising out of an order is limited to the amount paid for that order. We are not liable for loss of profit, loss of business, or any indirect or consequential loss.

Nothing in these terms limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.

10. Events outside our control

We are not in breach of these terms if performance is prevented or delayed by something outside our reasonable control — including industrial action, power or internet failure, transport failure, fire, flood, epidemic, or an act of government. We will tell you promptly and agree a revised timeline.

11. Governing law

These terms are governed by the laws of India. The courts at Bhubaneswar, Odisha have exclusive jurisdiction over any dispute arising from them.

12. Changes and contact
